2. Acceptance of these terms

By accessing our website, creating an account, purchasing upload credits, or using our services, you agree to these Terms of Service, our Privacy Policy, and our Cookie Policy.

If you do not agree, you must not use our services.

3. Our service

We provide a platform that allows users to upload VAT-related information and submit VAT returns to HMRC, subject to eligibility, system availability, and successful authentication where required.

We do not provide legal, tax, or accounting advice. You remain responsible for reviewing your VAT figures and ensuring that all information submitted to HMRC is accurate, complete, and authorised.

4. Eligibility and account use

You must be at least 18 years old and have authority to act for yourself, your business, or the business you represent.

You are responsible for keeping your login details secure; ensuring your account information is accurate and up to date; and all activity carried out through your account.

You must not share access credentials or use the service for unlawful, fraudulent, or unauthorised purposes.

5. Upload credits and purchases

Certain features require the purchase of upload credits or licences.

Before payment, we will display the applicable price and currency. You must confirm on the pricing page that you accept these Terms of Service; the Pay action is only available once that confirmation is given. By completing payment, you authorise us and our payment processor to charge the amount shown.

Unless otherwise stated: credits are non-transferable; credits may only be used within your account; promotional or free credits may be subject to separate conditions.

6. Payments

Payments are processed securely by Stripe or another payment provider we may use from time to time. We do not store full payment card details.

You agree to provide valid payment information and authorise payment for all charges incurred on your account.

7. Refunds

Because our services are digital services and because credits may be used immediately after purchase, refunds are generally not available once credits have been used or where service access has begun.

Nothing in these terms affects any rights you may have under applicable consumer law.

8. Your responsibilities

You are solely responsible for: the accuracy of all VAT data submitted through the platform; ensuring you have authority to file for the relevant business; checking deadlines, obligations, and submission status; keeping copies of your own business records where required.

We are not responsible for errors in data supplied by you, your staff, your agents, or your spreadsheet inputs.

9. HMRC submissions and third-party services

Our service may interact with HMRC systems and third-party providers such as payment processors.

We do not control HMRC systems or third-party platforms and are not responsible for downtime, delays, access interruptions, authentication failures, or rejected submissions caused by third parties.

A successful submission through our platform does not override HMRC validation rules or legal filing obligations.

10. Acceptable use

You must not: use the service for unlawful, misleading, or fraudulent activity; upload malicious code, scripts, or harmful files; attempt to gain unauthorised access to our systems; interfere with service security or performance; copy, reverse engineer, or exploit the service except as permitted by law.

We may suspend or terminate access if we believe these terms have been breached.

11. Service availability

We aim to keep the service available and secure, but we do not guarantee uninterrupted availability.

We may suspend access for maintenance, security, upgrades, legal reasons, or technical issues.

12. Intellectual property

All website content, branding, software, and materials made available through the service are owned by or licensed to Simplicity Upload LTD, unless stated otherwise.

You may use the service only for its intended business purpose. You must not copy, resell, or redistribute any part of the service without written permission.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for: indirect or consequential loss; loss of profit, revenue, business, or goodwill; penalties, interest, or losses resulting from inaccurate data supplied by you; delays or failures caused by HMRC, Stripe, internet outages, or events outside our reasonable control.

Our total liability in relation to any claim arising from the service will not exceed the amount paid by you to us for the relevant service in the 12 months before the claim arose.

Nothing in these terms excludes liability that cannot legally be excluded or limited.

15. Indemnity

You agree to indemnify us against losses, claims, or costs arising from your misuse of the service, your breach of these terms, or your submission of inaccurate, unauthorised, or unlawful data.

16. Suspension and termination

We may suspend or terminate your account immediately if: you breach these terms; we suspect fraud or misuse; we are required to do so by law or by a regulator; continued access presents a security or operational risk.

You may stop using the service at any time.

Any provisions that are intended to survive termination will continue to apply, including payment obligations, liability limits, and intellectual property protections.

Where changes are material, we may take reasonable steps to bring them to your attention.

18. Governing law

These terms are governed by the laws of England and Wales.
